You acknowledge and agree that:

• Success is not guaranteed.

• UNICORYN does not promise media features, income levels, or specific client outcomes.

• Past performance is not indicative of future results.

UNICORYN and Victoria Garlick shall not be held liable for your business decisions, outcomes, actions, or inactions arising from any information or service provided.

2. Limitation of Liability

To the fullest extent permissible by applicable law:

• UNICORYN, Victoria Garlick, and their respective employees, contractors, agents, and affiliates shall not be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or economic damages, including but not limited to lost profits, loss of opportunity, business interruption, data loss, or emotional distress.

You further agree to indemnify and hold harmless UNICORYN and Victoria Garlick against any and all claims, damages, losses, or expenses arising out of or connected to your use of the Services.

3. No Legal, Financial, or Investment Advice

Nothing provided by UNICORYN, whether through consultations, content, documentation, or correspondence, should be interpreted as legal, financial, investment, accounting, or tax advice. You are solely responsible for your own professional advice and decision-making.

4. Intellectual Property Rights

All content, strategy, assets, methods, logos, trademarks, written materials, and proprietary frameworks provided by UNICORYN are and remain the intellectual property of UNICORYN or its licensors. This includes but is not limited to:

• The “Category of One” framework

• UNICORYN brand methodologies

• Templates, documentation, videos, proprietary slides, PDFs, and event materials

You are granted a limited, non-transferable, non-exclusive, revocable license to use any materials provided strictly for your internal business use, and only during the duration of your engagement with UNICORYN.

You may not reproduce, resell, license, reverse-engineer, or distribute any content or IP for commercial use or to third parties without our express written permission.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and non-public business, marketing, and personal information disclosed during the relationship. This includes but is not limited to:

• Client financials

• Strategic documents

• Business models

• Creative assets

• Trade secrets

Exceptions include disclosure required by law or legal process.

6. No Agency or Employment Relationship

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between UNICORYN and any client, participant, or vendor. You acknowledge that you are engaging us as an independent service provider for limited services, and that no fiduciary duty exists.

7. Force Majeure

UNICORYN and Victoria Garlick shall not be held liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, government actions, war, terrorism, pandemics, labor strikes, power outages, or cyber attacks.

8. Cancellations, Refunds & Payment Terms

Due to the nature of our bespoke, strategic, and high-touch services, all fees are non-refundable and non-transferable once paid.

• Payment plans must be completed in full unless otherwise agreed in writing.

• Late or failed payments may result in access being revoked.

• You agree not to initiate chargebacks or disputes without first contacting our billing department to resolve the issue.

9. Media and Testimonials Release

By participating in our Services, you grant us the right to use, with your consent:

• Written testimonials

• Case studies

• Photos and video footage taken during events

• Your logo or brand name for “client of” mentions

You may revoke consent in writing at any time, and we will cease use within 30 days of receipt of that request.

10. Jurisdiction and Dispute Resolution

These Terms shall be governed by the laws of New South Wales, Australia, and any disputes shall be subject exclusively to the courts of Sydney, NSW.

You agree to submit any dispute to confidential binding arbitration before a single arbitrator in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA). The decision shall be final and enforceable in a court of competent jurisdiction.

To the extent allowed by law, you waive any right to a class action or public trial.

11. Modifications to Terms

UNICORYN reserves the right to update or modify these Terms at any time. We will notify users of material changes, but it is your responsibility to review these Terms periodically. Continued use of the Services after updates constitutes acceptance.

12. Entire Agreement

These Terms, along with any signed Service Agreement or proposal, constitute the entire agreement between you and UNICORYN and supersede any prior written or oral agreements.
