1. ACCEPTANCE & LEGAL AGREEMENT
By purchasing, accessing, or participating in UNICORYN™ (the “Program”), you (“Participant”) confirm that:
- You have read and understood these Terms
- You agree to be legally bound by them
- You accept full responsibility for your participation
If you do not agree, you must not access the Program.
2. PROGRAM NATURE & POSITIONING
UNICORYN™ is a:
- digital education and certification program
- media and training platform
- placement support ecosystem
The Company provides:
education, frameworks, tools, and optional opportunities only
The Company does not provide:
- employment
- guaranteed income
- guaranteed placement
- financial or legal advice
3. INCOME & RESULTS DISCLAIMER
The Participant acknowledges:
- No income or results are guaranteed
- Any examples shared are illustrative only
- Earnings depend entirely on:
- individual effort
- skill level
- consistency
- external market conditions
The Company makes no representations regarding:
- income levels
- financial success
- business outcomes
You accept full responsibility for all results.
4. PLACEMENT GUARANTEE — TERMS & LIMITATIONS
UNICORYN™ offers placement support, not automatic placement.
To be eligible, Participants must:
- complete the certification
- demonstrate implementation
- meet competency standards
- act professionally
The Company reserves the right to:
- assess readiness
- delay or deny placement
- determine qualification standards
Placement is:
- subject to third-party decisions
- dependent on market demand
- outside Company control
The Company guarantees continued support, not outcomes.
5. INDEPENDENT CONTRACTOR STATUS
Participants operate as independent contractors.
The Company is not responsible for:
- employment relationships
- contracts with clients
- commission disputes
- unpaid invoices
All business activity is conducted at the Participant’s own risk.
6. PARTNER / REFERRAL PROGRAM DISCLAIMER
Participation is optional.
Participants acknowledge:
- earnings are commission-based only
- no income is guaranteed
- no recruitment-based structure exists
Commissions:
- are paid on completed transactions only
- may be withheld or adjusted in cases of:
- fraud
- disputes
- chargebacks
This is a product referral model, not employment.
7. PAYMENT TERMS & NO REFUNDS
- All payments are final
- No refunds are provided under any circumstances
- Payment plans must be completed in full
Failure to pay may result in:
- removal of access
- debt recovery action
8. LIFETIME ACCESS & CONTENT
Participants receive lifetime access to:
- the certification
- all future updates
However:
- access is platform-dependent
- Participants are responsible for downloading materials
- the Company is not liable for:
- platform changes
- access loss
- technical failures
9. USE OF AI & TECHNOLOGY DISCLAIMER
The Program may include AI tools and systems.
The Participant acknowledges:
- AI outputs may be inaccurate or incomplete
- all decisions made using AI are at their own risk
The Company is not responsible for:
- errors in AI-generated outputs
- business decisions based on AI
10. INTELLECTUAL PROPERTY & COPYRIGHT
All materials are owned by UNICORYN™.
Participants may not:
- copy, reproduce, or distribute content
- resell outside approved structures
- claim ownership of methodologies
Participants are responsible for ensuring:
- their use complies with copyright laws
11. USER RESPONSIBILITY & CONDUCT
Participants agree to:
- act ethically
- avoid misleading claims
- comply with all laws
The Company is not responsible for:
- Participant behaviour
- messaging
- client interactions
12. TAX & FINANCIAL RESPONSIBILITY
Participants are fully responsible for:
- declaring income
- paying taxes
- complying with local regulations
The Company does not:
- provide tax advice
- manage tax obligations
13. NO PROFESSIONAL ADVICE
UNICORYN™ does not provide:
- financial advice
- legal advice
- tax advice
Participants must seek their own professionals.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
The Company shall not be liable for:
- any direct or indirect loss
- loss of income or opportunity
- reputational damage
- emotional distress
Total liability is limited to:
the amount paid for the Program
15. INDEMNIFICATION
You agree to indemnify and hold harmless UNICORYN™ from:
- all claims
- damages
- legal costs
arising from:
- your actions
- your business activities
- your use of the Program
16. THIRD-PARTY DISCLAIMER
The Company is not responsible for:
- external platforms (Instagram, Zoom, etc.)
- third-party tools
- client decisions or behaviour
17. ACCESS, MODIFICATION & TERMINATION
The Company reserves the right to:
- modify content at any time
- revoke access for breaches
- update the Program
18. FORCE MAJEURE
The Company is not liable for:
- technical failures
- outages
- events beyond control
19. NO RELIANCE CLAUSE
You confirm that:
You have not relied on any statement or promise not explicitly stated in these Terms.
20. GOVERNING LAW & JURISDICTION
This Agreement is governed by:
Sydney, New South Wales, Australia
All disputes fall under this jurisdiction.
21. DISPUTE RESOLUTION
Disputes must first attempt:
- good faith negotiation
If unresolved:
- legal proceedings will occur in NSW courts
22. SEVERABILITY
If any clause is invalid, the remainder remains enforceable.
23. FULL RISK ACKNOWLEDGEMENT
By participating, you acknowledge:
- You assume full responsibility for all outcomes
- You understand there are no guarantees
- You release the Company from liability to the fullest extent permitted by law

25. FINAL LIABILITY WAIVER
To the fullest extent permitted by law, you agree:
UNICORYN™ and its Founder, employees, partners, and affiliates shall not be liable for any claim, loss, damage, or legal action arising from your participation in the Program.
